The Deputy General Counsel will help oversee the legal aspects of our business. The Deputy GC will ensure that in-house clients conduct their activities in compliance with all federal, state and local laws, including tax, nonprofit, corporate, contract, employment, and lobbying by offering timely direction to management regarding all relevant issues. Effectively ensure legal conformity and minimize the probability of exposure.

  • Participate in the definition and development of policies, procedures and programs.
  • Provide continuing counsel and guidance on legal matters and on legal implications of organizational activities.
  • Serve as key legal advisor business transactions including contracts and agreements.
  • Provide strategic advice to business and finance executives regarding legal matters, strategic and compliance issues.
  • Perform a careful review on each of the Company’s existing legal: documents, contracts and agreements
  • Provide counsel across a variety of legal disciplines (employment, consumer, privacy, corporate, finance and international)
  • Collaborate with the Executive team to devise efficient legal strategies and forward guidance
  • Review outside contracts and draft internal contracts and at times negotiate contractual terms on behalf of GSF
  • Participate in the selection, retention, management and evaluation of all outside counsel.
  • Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

 

Qualifications

To perform this job successfully, an individual should possess the knowledge, skills, and abilities listed and meet the amount of education, training and/or work experience required.

 

Knowledge, Skills, and Abilities

  • Licensing: Must be a current member in good standing with State Bar of California
  • 8-10 years professional law experience in areas of commercial, contracts and licensing; financial/banking industry experience a plus
  • Familiarity with contract and corporate governance law
  • Ability to prioritize multiple tasks, demands and work under pressure in a fast-paced environment
  • Exposure to and/or familiarity with the following areas of law: tax, nonprofit, corporate, contract, employment, lobbying
  • Excellent interpersonal, oral and written communications skills
  • Superior negotiation, drafting, and writing skills; as well as ability to problem solve in an efficient, business-friendly, creative manner.
  • Ability to direct and manage multiple projects and staff in a fast-paced, deadline-driven environment
  • Understanding of 501(c) organizations and regulations regarding state instrumentalities
  • Commitment to the mission of GSF and its Creed and Values.

Requirements

  • As a result, in addition to general business conflicts of interest, all GSF employees are expected to disclose conflicts of interest in companies on at least an annual basis and to proactively avoid such conflicts
  • Protect the confidentiality, integrity, and availability of GSF information and information systems in accordance with GSF policies and procedures.

 

Working Conditions

  • Office work environment. Work from work.

Salary range is from 300K plus bonus and other benefits.
